Welcome to Overpath, the AI-powered sales execution platform for B2B teams provided by Overpath Limited ("Overpath AI", "Overpath", "the platform", "the Company", "we", or "us").


These Terms of Service (“Terms”) govern your access to and use of Overpath, our AI agents (including “Molly”, "Mac" and others we develop), and related services (collectively, the “Service”).


By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you agree to these Terms on behalf of that organisation and represent that you have the authority to do so.

Unless otherwise specified, the terms of use detailed in this section apply generally when using Overpath.


Single or additional conditions of use or access may apply in specific scenarios and in such cases are additionally indicated within this document.


By using Overpath, Users confirm to meet the following requirements:

  • Users must be business users, where the business the User represents has appropriate data controller consents for subject data; 

  • Users must be recognised as adults by applicable law.


1.1 Account Management

To use the Service, Users must register or create a User account, providing all required data or information in a complete and truthful manner. Failure to do so will cause unavailability of the Service. 


Users cannot use personal accounts, and must be business users, where the business the user represents has appropriate data controller consents for subject data.


Users are responsible for keeping their login credentials confidential and safe. For this reason, Users are also required to choose passwords that meet the highest standards of strength permitted by Overpath.

By registering, Users agree to be fully responsible for all activities that occur under their username and password.


Users are required to immediately and unambiguously inform Support via the contact details indicated in this document if they think their personal information, including but not limited to User accounts, access credentials or personal data, have been violated, unduly disclosed or stolen.


1.2 Content on Overpath Limited

Unless otherwise specified or clearly recognisable, all content available on Overpath is owned or provided by the Company or its licensors .

The Company undertakes its utmost effort to ensure that the content provided on Overpath infringes no applicable legal provisions or third-party rights. However, it may not always be possible to achieve such a result. In such cases, without prejudice to any legal prerogatives of Users to enforce their rights, Users are kindly asked to preferably report related complaints using the contact details provided in this document.


Rights regarding content on Overpath - All rights reserved

The Company holds and reserves all intellectual property rights for any such content. Users may not, therefore, use such content in any way that is not necessary or implicit in the proper use of the Service.


In particular, but without limitation, Users may not copy, download, share (beyond the limits set forth below), modify, translate, transform, publish, transmit, sell, sublicense, edit, transfer/assign to third parties or create derivative works from the content available on Overpath Limited, nor allow any third party to do so through the User or their device, even without the User’s knowledge.


Where explicitly stated on Overpath, the User may download, copy and/or share some content available through Overpath for its sole personal and non-commercial use and provided that the copyright attributions and all the other attributions requested by the Company are correctly implemented.

Any applicable statutory limitation or exception to copyright shall stay unaffected.


1.3 Access to external resources

Through Overpath Users may have access to external resources provided by third parties. Users acknowledge and accept that the Company has no control over such resources and is therefore not responsible for their content and availability.


Conditions applicable to any resources provided by third parties, including those applicable to any possible grant of rights in content, result from each such third parties’ terms and conditions or, in the absence of those, applicable statutory law.


1.4 Acceptable use

Overpath and the Service may only be used within the scope of what they are provided for, under these Terms and applicable law.


Users are solely responsible for making sure that their use of Overpath and/or the Service violates no applicable law, regulations, or third-party rights.


1.5 API usage terms

Users may access their data relating to Overpath via the Application Program Interface (API). Any use of the API, including use of the API through a third-party product/service that accesses Overpath, is bound by these Terms and, in addition, by the following specific terms:


The User expressly understands and agrees that the Company bears no responsibility and shall not be held liable for any damages or losses resulting from the User’s use of the API or their use of any third-party products/services that access data through the API.

Overpath is an AI-powered sales execution platform for B2B teams. It is a new layer in the GTM tech stack, designed to help revenue teams execute better in live deals. Overpath integrates with your productivity workspace and connects to your GTM tools to assist sales teams with day-to-day tasks, research, reporting, and workflow automation. Key aspects of the Service include:


  • Web Application & AI Agents: The Overpath platform is made up of a set of interfaces, Chrome extenstions, APIs and AI Agents. The web application is hosted at https://app.overpath.ai.

  • Chat Integration: Our Service integrates with multiple workspace productivity chat tools including, but not limited to, Slack, Google Chat, and WhatsApp. By connecting Overpath to your productivity workspace, you authorise us to access and process messages, channels, and conversations where the bot is mentioned or invited, as described in our Privacy Policy and in these Terms.

  • AI-Powered Assistance: The Service uses advanced AI (including third-party AI services) to analyse conversations, conduct research, generate reports, create recommendations, and perform autonomous tasks on your behalf. Overpath can draft documents, analyse data, prepare reports, and execute approved actions through connected business tools.

  • Third-Party Integrations: Overpath can connect to various third-party business platforms and tools to extend its capabilities. Each integration requires your explicit authorisation via OAuth or API key and is governed by the respective platform's terms of service. Available integrations may include but are not limited to: CRM systems, analytics tools, and productivity suites. Integrations connected in Overpath are workspace-shared by design. Authorised team/workspace members may use those integrations and related tools, and actions may execute using the connected account's permissions.

  • Autonomous Operations: Overpath operates autonomously, running scheduled tasks, monitoring data context signals, and proactively generating reports and suggestions. Depending on your workspace configuration (including shared integrations, automation rules, and approval settings), some actions may execute without per-action human review. Other actions may require explicit approval from authorised users before execution.

To use Overpath, you will need register and install our Slack app in your workspace and optionally connect additional business tools. When registering and using the Service, you agree to the following:

  • Workspace Administrator Authorization: You represent that you have the authority to install Slack applications in your workspace and to grant Overpath the permissions it requests.

  • Account Security: You are responsible for maintaining the security of your Slack workspace and any connected third-party accounts. If you use OAuth or API keys to connect services, ensure those credentials remain secure.

  • Shared Integration Responsibility: If you connect an integration in Overpath, you represent that you are authorised by your organisation and, if applicable, the relevant third-party account owner to do so. Because integrations are workspace-shared, you are responsible for granted scopes, account-level permissions, and resulting access to data and actions available to your workspace through Overpath.

  • Responsibility for Use: You are responsible for all activities that occur through Overpath in your workspace, including actions taken by the AI on your behalf after receiving approval. If you notice any unauthorized activity, you must notify us immediately at support@overpath.ai.


  • Authorized Users: You agree to ensure that only authorised team members interact with Overpath for business purposes. You are responsible for your team's compliance with these Terms.

By connecting Overpath to your productivity workspace and business tools, you grant Overpath Limited the rights and permissions necessary to access and process data on your behalf:

  • Slack OAuth Consent: You understand that the Service uses OAuth authentication to request access to your Slack workspace. During installation, you will be presented with Slack's consent screen detailing the permissions we request (such as reading messages in channels where the bot is invited, posting messages, uploading files, and reading user information). By granting consent, you authorize us to use those permissions to provide the Service. You may uninstall Overpath from your workspace at any time via Slack's App Management settings.

  • Third-Party Platform Access: When you connect business tools and platforms, you authorize us to access your account data as permitted by each platform's authentication mechanism. The specific data accessed depends on the integration and permissions you grant.

  • Scope of Data Access: With your permission, Overpath will read and respond to messages in Slack channels where it is invited, process direct messages sent to the bot, access connected platform data to perform requested tasks and generate insights, and execute approved actions on connected platforms. Because integrations are workspace-shared, authorised members may invoke those integrations and related tools through Overpath.

  • Use of Data: Any data obtained from your productivity workspace or connected platforms will be used strictly in accordance with our Privacy Policy. We do not use your data for any purpose other than to provide and support Service functionality (including security, reliability, billing, and service communications). We do not sell your data for monetary consideration.

Overpath operates with varying levels of autonomy. You acknowledge and agree to the following:

  • Low-Risk Actions: Overpath may autonomously perform read-only operations, conduct research, generate reports, draft documents, and communicate via Slack without requiring explicit approval, and may execute other actions that you have configured as pre-authorised.

  • High-Risk Actions: Actions that modify external systems or have significant business impact may require explicit approval through Slack's interactive approval buttons before execution.

  • Pre-Authorized Actions and Policies: If you enable auto-approve settings, recurring workflows, shared integration permissions, or similar configuration controls, you authorise Overpath to execute covered actions without per-action human approval.

  • Approval Authority: You are responsible for ensuring that only authorised personnel can view and approve action requests, including by maintaining appropriate Slack channel and thread access controls. Approval via Overpath's Slack approval flow by a user with access to the request constitutes authorization to proceed.

  • Execution Responsibility: Once you approve an action, or once an action is allowed by your pre-authorisation settings, Overpath will attempt to execute it. You acknowledge that you are ultimately responsible for the consequences of approved or pre-authorized actions.

  • Control and Revocation: You are responsible for promptly updating or revoking approvals, integration connections, permissions, and workflow settings if personnel, roles, or business requirements change.

We are committed to ensuring the Service is used safely and lawfully. By using Overpath, you agree to the following acceptable use conditions outlined in out online AUP here: https://overpath.ai/aup.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your access to the Service, and could expose you to legal liabilities.

We may investigate suspected violations of this Acceptable Use Policy, suspend or terminate access, and cooperate with law enforcement or regulators where appropriate.

6.1 No Waiver

The Company’s failure to assert any right or provision under these Terms shall not constitute a waiver of any such right or provision. No waiver shall be considered a further or continuing waiver of such term or any other term.


6.2 Service interruption

To ensure the best possible service level, the Company reserves the right to interrupt the Service for maintenance, system updates or any other changes, informing the Users appropriately.

Within the limits of law, the Company may also decide to suspend or discontinue the Service altogether. If the Service is discontinued, the Company will cooperate with Users to enable them to withdraw personal data or information and will respect Users’ rights relating to continued product use and/or compensation, as provided for by applicable law.

Additionally, the Service might not be available due to reasons outside the Company’s reasonable control, such as “force majeure” events (infrastructural breakdowns or blackouts etc.).


6.3 Service reselling

Users may not reproduce, duplicate, copy, sell, resell or exploit any portion of Overpath and of its Service without the Company’s express prior written permission, granted either directly or through a legitimate reselling programme.


6.4 Data processing and Privacy

To learn more about the use of their personal data, Users may refer to the privacy policy of Overpath Limited ( available at https://www.overpath.ai/privacy).


Our Data Processing Agreement (available at https://www.overpath.ai/dpa) is hereby incorporated into these Terms by reference.


6.5 Intellectual property rights

Without prejudice to any more specific provision of these Terms, any intellectual property rights, such as copyrights, trademark rights, patent rights and design rights related to Overpath are the exclusive property of the Company or its licensors and are subject to the protection granted by applicable laws or international treaties relating to intellectual property.

All trademarks nominal or figurative and all other marks, trade names, service marks, word marks, illustrations, images, or logos appearing in connection with Overpath are, and remain, the exclusive property of the Company or its licensors and are subject to the protection granted by applicable laws or international treaties related to intellectual property.


6.6 Changes to these Terms

The Company reserves the right to amend or otherwise modify these Terms at any time. In such cases, the Company will appropriately inform the User of these changes.

Such changes will only affect the relationship with the User from the date communicated to Users onwards.

The continued use of the Service will signify the User’s acceptance of the revised Terms. If Users do not wish to be bound by the changes, they must stop using the Service and may terminate the Agreement.

The applicable previous version will govern the relationship prior to the User’s acceptance. The User can obtain any previous version from the Company.

If legally required, the Company will notify Users in advance of when the modified Terms will take effect.

Your privacy is important to us. By using the Service, you acknowledge and agree that Overpath Limited will collect, use, and process your data as outlined in our Privacy Policy (which is incorporated herein by reference).


Key points include:

  • Productivity Workspace Data: When you connect Overpath to your productivity workspace, we access messages, conversation history, and workspace context to enable AI processing and provide the Service.

  • Connected Platform Data: Data from connected platforms is accessed to perform requested tasks and may be cached to provide Service functionality.

  • AI Processing: You understand that content from your conversations and connected platforms will be processed by automated AI systems, including third-party AI providers (see our Sub-processors for more information). We ensure that these providers are under strict obligations to protect your data and do not use it to train their general models.


  • Workspace Files: Overpath creates and maintains internal workspace files (logs, reports, context documents) to support its operations. These are stored in our secure infrastructure.


  • Data Removal: You can request deletion of your data at any time by contacting us at privacy@overpath.ai. Uninstalling the Slack app, revoking access, or disconnecting integrations stops new data collection from those sources but does not by itself delete previously stored data. If your account is deleted or closed, or we receive a validated deletion request, we delete previously stored data in accordance with our Privacy Policy and retention timelines.

  1. INTELLECTUAL PROPERTY RIGHTS

All content, software, algorithms, and materials comprising the Service are the property of Overpath Limited or our licensors and are protected by intellectual property laws.


  • License to You: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to use the Service for your internal business purposes.


  • Restrictions: You will not copy, modify, distribute, or create derivative works based on the Service's code or content. You will not reverse engineer or decompile any technology associated with the Service.


  • Your Content: You retain all rights to data you provide ('Inputs'). You retain ownership of your business data, chat messages, and any other data you provide. By using the Service, you grant Overpath Limited a limited license to use that content as necessary to provide the Service.


  • AI-Generated Content: Overpath hereby assigns to you all right, title, and interest in the results generated by the Service ('Outputs'). Reports, documents, and other content generated by Overpath are provided as work product for your use. You may use AI-generated content for your business purposes.

  • Training: Overpath does not use your Inputs or Outputs to train our foundational or global AI models for other customers without your express consent.


  • Feedback: If you provide feedback or suggestions about the Service, you agree that we may use such feedback freely without any obligation to compensate you.

  1. AI CONTENT AND DISCLAIMERS

The Service involves the use of generative AI to generate content, reports, and recommendations. It is important to understand the following:

  • AI-Generated Content May Be Imperfect: AI is not infallible. Content generated might occasionally be incorrect, misleading, incomplete, or inappropriate. The AI might misunderstand context, make erroneous recommendations, or generate inaccurate information ('Hallucinations'). You are responsible for reviewing and verifying AI-generated content before acting on it or relying on it for business decisions.

  • No Professional Advice: Any suggestions, reports, or recommendations generated by the Service should not be considered professional legal, financial, tax, medical, or other specialized advice. Always use your professional judgment and consult qualified professionals when appropriate.

  • User Responsibility: You acknowledge that you are ultimately responsible for all
    business decisions and actions taken based on the platform's output. You are responsible for reviewing and verifying all Outputs before relying on them for business, legal, or financial decisions.

  • No Guaranteed Human Review: You understand that autonomous tasks and configured pre-authorised workflows may execute without real-time human review.

  • Platform Compliance: You are responsible for ensuring that any actions executed through Overpath comply with the policies of connected platforms and applicable laws.

10. PRICING AND FUTURE PAID FEATURES

Current Pricing: The Service offers both free trial and paid subscription plans. You may try Overpath without payment during the trial period.


Future Changes: Overpath Limited reserves the right to modify pricing, introduce new subscription plans, premium features, or usage-based pricing in the future. If we make changes that affect your current plan, we will provide you with at least 30 days' advance notice via chat message to your workspace administrators and/or email.

If You Subscribe: If you choose to subscribe to a paid plan, the following terms apply unless otherwise specified in an Order Form:

  • Payment: All fees will be in Euro unless otherwise specified. You will authorise Overpath Limited (or our payment processor) to charge your payment method for applicable fees and taxes.

  • Billing: Subscriptions will be billed in advance according to the agreed billing cycle.

  • Auto-Renewal: Subscriptions will automatically renew unless cancelled before the end of the billing period.

  • Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.

  • Refunds: Fees are generally non-refundable except at our discretion or where required by law.

11. TERMINATION OF SERVICE

By You: You may stop using the Service at any time by uninstalling the Overpath Slack app from your workspace and disconnecting all integrations. This stops future data collection from those sources. If your account is deleted or closed, or we receive a validated deletion request, we delete previously stored data in accordance with our Privacy Policy and retention timelines. You can also contact us at support@overpath.ai.com to request deletion.


By Us: Overpath Limited reserves the right to suspend or terminate your access to the Service at any time, with or without notice, if we believe that: (a) you have violated these Terms, (b) you pose a security, legal, or business risk to the Service or other users, or (c) we decide to discontinue the Service. We may also limit or disable specific integrations, features, or workspaces where reasonably necessary for security, legal compliance, or risk mitigation.


Effects of Termination: Upon termination, your right to access or use the Service will immediately cease. We may deactivate your workspace connection and delete associated data. Sections of these Terms that by their nature should survive termination (such as indemnification, disclaimers, limitation of liability, and governing law) will survive.

12. DISCLAIMERS OF WARRANTIES

The Service (including all content, functions, and AI features) is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Overpath Limited disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

AI Outputs: Overpath Limited makes no warranty or guarantee regarding the accuracy, quality, or reliability of any AI-generated content, reports, or recommendations.

Third-Party Services: We are not responsible for the availability or proper functioning of Slack or any other third-party services that the Service relies on. Changes to these platforms may affect Service functionality.

Some jurisdictions do not allow certain warranty exclusions. In such jurisdictions, the exclusions in these Terms apply only to the maximum extent permitted by applicable law.

13. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Overpath Limited and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages whatsoever, including but not limited to damages for lost profits, lost data, business interruption, or reputational harm arising out of or related to your use of the Service.


In no event will Overpath Limited's total cumulative liability for all claims arising from or related to the Service exceed the amount you have paid to us for the Service in the last twelve (12) months or €100 - whichever is greater.

We are specifically not liable for:

  • Actions taken by the AI on connected platforms

  • Business decisions made based on AI recommendations

  • Any consequences of approved or pre-authorized actions

Some jurisdictions do not allow exclusion or limitation of certain damages. In such jurisdictions, liability is limited to the maximum extent permitted by applicable law.

14. INDEMNIFICATION

The User agrees to indemnify and hold Overpath Limited and its subsidiaries, affiliates, officers, directors, agents, co-branders, partners and employees harmless from and against any claim or demand including but not limited to lawyer’s fees and costs made by any third party due to or in relation with any culpable violation of these Terms, third-party rights or statutory provisions connected to the use of the Service by the User or its affiliates, officers, directors, agents, co-branders, partners and employees to the extent allowed by applicable law.


The above also applies to any claims exercised by third parties (including but not limited to Overpath Limited's clients or customers) against Overpath related to Digital Products provided by the User such as, for instance, conformity claims.

15. MODIFICATIONS TO THE SERVICE AND TERMS

Service Changes: We reserve the right to modify, update, or discontinue the Service (or any part of it) at any time, with or without notice.

Terms Changes: We may revise these Terms from time to time. If we make material changes, we will notify you through reasonable means. By continuing to use the Service after updated Terms are posted, you accept and agree to the changes.

16. GOVERNING LAW AND JURISDICTION

These Terms and any dispute arising out of or relating to the Service will be governed by and construed in accordance with the laws of Ireland.


Users accessing the Service outside of Ireland are responsible for compliance with local laws. Nothing in these Terms limits non-waivable consumer rights under applicable law.

17. DISPUTE RESOLUTION

Amicable dispute resolution: Users may bring any disputes to the Company who will try to resolve them amicably. While Users’ right to take legal action shall always remain unaffected, in the event of any controversy regarding the use of Overpath or the Service, Users are kindly asked to contact the Company at the contact details provided in this document.

The User may submit the complaint to the Company by using the dedicated section of Overpath and following the instructions provided. The Company will process the request without undue delay and within 7 days of receiving it.

17. MISCELLANEOUS

Entire Agreement: These Terms (together with the Privacy Policy, DPA, APU and optionally an MSA) constitute the entire agreement between you and Overpath Limited regarding the Service.


Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver.


Severability: If any provision is held invalid or unenforceable, the remaining provisions will remain in effect.


Assignment: You may not assign these Terms without our prior written consent. We may freely assign these Terms.


No Agency: No joint venture, partnership, employment, or agency relationship exists between you and Overpath Limited.

Service Interruption: To ensure the best possible service level, the Company reserves the right to interrupt the Service for maintenance, system updates or any other changes, informing the Users appropriately. Additionally, the Service might not be available due to reasons outside the Company’s reasonable control, such as “force majeure” events (infrastructural breakdowns or blackouts etc.).
